Individual enterprise, public limited company or foundation? Choosing the right legal form for your company is the first strategic decision to becoming an entrepreneur. Only then can the next steps can be taken on the road to creating a company.
The decision about which legal form you wish to use for your company is the basis for the framework within which the business will operate. It is the legal form that decides which rights and duties shareholders have, which rules govern liability and how much capital is required in order to found the company.
Two fundamental types of legal form are available. Businesses can be run either by a natural person (ordinary partnership or individual enterprise) or by a legal person (public limited company, limited liability company or establishment).
The question of selecting an appropriate company name should also be taken into consideration before founding a business. This name must be approved in advance by the Office of Justice, Commercial Register Division. Entrepreneurs are, of course, entitled to change the name of the company at any time, though this requires an official application resulting in certain costs.
